1. Eligibility
The “HUGO-GTTM Grant Awards” (“Contest”) is open to academic, non-profit, and not-for-profit research professionals worldwide (including, but not limited to graduate students, post-docs, principal investigators, and staff scientists) who sign up at https://www.cyagen.com/us/en/community/promotions/hugo-gt-grant-awards.html. Entrants must be eighteen (18) years of age or older as of their date of entry in this promotion in order to qualify. Cyagen's employees, its subsidiaries, affiliates, suppliers, partners, advertising and promotion agencies, and directors (collectively the “Employees”), as well as members of an Employees' immediate family and/or those living in the same household of Employees are ineligible to participate in the HUGO-GTTM Grant Awards.
2. Sponsorship
The sponsor is Cyagen Biomodels LLC (“Sponsor”), located at 2255 Martin Avenue, Suite E Santa Clara, CA 95050, USA. is supporting these awards as described in the Application Guidelines for these Official Rules. Sponsor will conduct the Contest substantially as described in these Official Rules.
3. Agreement to Rules
By entering this Contest, the Entrant (“You”) agrees to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. The Sponsor reserves the right to refuse, withdraw, or disqualify any entry at any time at the Sponsor’s sole discretion. By entering this Contest, You represent and warrant that You are eligible to participate based on eligibility requirements explained in the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the content of this HUGO-GTTM Grant Awards Contest.
4. HUGO-GTTM Grant Awards Contest Entry Period
This promotion begins on December 1st, 2024 at 12:01 am Korea Standard Time and ends once all Winning applications have been selected and accepted (“Entry Period”). To be eligible for the Contest, entries must be received within the specified Entry Period.
5. How to Enter
Eligible entrants can enter the HUGO-GTTM Grant Awards by submitting an entry via the online form provided athttps://www.cyagen.com/us/en/community/promotions/hugo-gt-grant-awards.html. As a participant, your entry must fully meet all Contest requirements, as specified in the Official Rules, in order to be eligible to win a prize. Incomplete entries or those that do not adhere to the Official Rules or specifications will be disqualified at the Sponsor's sole discretion. The detailed requirements for the application content - including contact information, research proposal, biosketch, and optional materials for submission - may be found in our Application Guidelines. Applications will be reviewed on a rolling basis until all awards are selected, so early submissions have a greater chance for selection. As the awards for each Research Grant Award Category are granted, the application form for the respective category will close.
6. Prizes
The Winner(s) of the HUGO-GTTM Grant Awards Contest (the “Winner”) will receive a research grant award prize for the HUGO-GTTM custom animal model (CAM) project described in the application. One (1) Grand Prize per Research Category (5 total prizes) shall be awarded; each Grand Prize consists of a free standard wild-type (WT) HUGO-GTTM model service (up to 3 rounds of gene targeting with TurboKnockout-Pro) ($76,000 value). All eligible entries will receive 50% off a CRISPR PM service project based on existing WT HUGO-GTTM models ($15,000 value) as described in the related application. The actual/appraised prize value may differ at the time the prize is awarded. The prize(s) shall be determined solely by the Sponsor. The grant award can be used as store credit towards Cyagen’s HUGO-GTTM model services within 6 months of the award date of the grant. The award may be used for one (1) single standard HUGO-GTTM mouse model generation project (3 rounds of gene targeting with TurboKnockout-Pro) as described in the winning application(s). It cannot be used in combination with other coupons, discounts, or promotional offers. No transfer, substitution or cash equivalent for the grant is allowed, except at Sponsor's sole discretion. The Winner shall not transfer assignment of the prize to others nor shall the Winner request the cash equivalent or prize substitution. The Winner, in order to accept the prize, will need to sign the required contract terms for the services to be performed. By accepting the prize, the selected Winner grants permission for the Sponsor to use the Winner’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.
7. Odds
The total number of eligible entries received determines the odds of winning.
8. Selection and Notification of Winner
The Winners will be selected at the discretion of a panel of PhD-level judges – who shall assess applications on the basis of scientific merit, proposal clarity, project sophistication, technical feasibility, appropriate fit of proposed animal model, potential impact on the field, and the quality of the applicant’s biosketch - under the supervision of the Sponsor. The Sponsor will notify the Winner(s) by email within 30 days following Winner selection, the timeline of which depends on the applications received by Sponsor. For this reason, the addition of ‘@cyagen.com’ and ‘@cyagen.us’ domains to your email safelist is recommended. The Sponsor is not responsible for nor shall have no liability for Winner’s failure to receive notices due to email security settings that may cause notifications to be marked as spam or junk email. Nor shall Sponsor be liable for the Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner 1) fails to claim the prize within 10 days from the time the award notification was sent, or 2) is found ineligible, the prize may be forfeited and an alternate Winner may be selected. IF THE WINNER VIOLATES ANY OF THESE OFFICIAL RULES, THE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
9. Title to the models developed or generated by the awarded HUGO-GTTM CAM project (the “Models”), and any models and technologies used in these projects that are owned by Sponsor, and any generated intellectual property rights arising from these projects, are exclusively owned by Sponsor, and the Winners shall comply with the following terms:
9.1-The Models shall not be bred or cross-bred except to obtain embryos or fetuses required for research purposes unless additional rights have been granted in writing by Sponsor. However, discounted breeding services are available, or breeding licenses can be purchased;
9.2-The Models shall be used for research purposes only;
9.3-The Models and biological materials derived from them will not be distributed to third parties or used for commercial purposes; and
9.4-Title and the intellectual property rights to all the downstream validation data developed or generated by using the Models and any biological materials derived therefrom, shall be co-owned by Sponsor and the Winners. The Winners shall promptly share such data with the Sponsor, and the Sponsor shall be able to freely use the downstream validation data for all purposes, including, but not limited to, CRO services and marketing.
10. Rights Granted by You
By submitting an entry (e.g., text, video, photo, etc.) into this Contest, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about the HUGO-GTTM Grant Awards Contest, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration. All entries must be original work and not violate anyone’s proprietary or intellectual property rights. You shall defend or settle against any such infringement claims at your sole expense, and You shall indemnify, defend and hold harmless the Sponsor from any suit.
11. Terms & Conditions
In its sole discretion, the Sponsor reserves the right to modify, suspend, cancel, or terminate the HUGO-GTTM Grant Awards Contest should non-authorized human intervention, a bug or virus, fraud, or other causes beyond the Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the HUGO-GTTM Grant Awards Contest. The Sponsor, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) the action taken by the Sponsor. Individuals who tamper with or attempt to tamper with the operation or entry process of the Contest or website or violates these Terms & Conditions will be disqualified by the Sponsor in its sole discretion. In its sole discretion, the Sponsor has the right to maintain the integrity of the HUGO-GTTM Grant Awards Contest, to void entries for any reason, including, but not limited to: plagiarism; multiple entries for the same project submitted by multiple members of a lab; or the use of bots, macros, scripts, or other technical means for entering. Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the HUGO-GTTM Grant Awards Contest may be a violation of criminal and civil laws. If any such attempt is made, the Sponsor reserves the right to seek damages to the fullest extent permitted by law.
12. Limitation of Liability
Your entry into this Contest constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Contest and/or the 1) Winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; 2) any type of technical failure; 3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; 4) unauthorized intervention in any part of the entry process or the Promotion; 5) electronic error or human error in the Promotion administration or the processing of entries.
13. Disputes
THIS CONTEST IS GOVERNED BY THE LAWS OF THE UNITED STATES AND CALIFORNIA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. The Entrant agrees, as a condition of participating in this promotion, that if any disputes cannot be resolved between the Entrant and the Sponsor, and if causes of action arise out of or are connected with this Contest, they shall be individually resolved exclusively before a court located in California having jurisdiction, without resorting to any form of class action. Under no circumstances in any such dispute shall the participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Contest). The participant waives all rights to have damages multiplied or increased.
14. Privacy Policy
All information submitted by applicants is strictly confidential and will not be shared with anyone outside the grant review committee and Sponsor. Information submitted with an entry is subject to the Privacy Policy stated on the Cyagen website. Click here to read the Privacy Policy.
